Terms of Service

1. Acceptance of Terms
By accessing or using the LegalEdge platform and services (the “Service”) provided by LegalEdge, Inc. (“LegalEdge,” “we,” “us”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a law firm or organization, you represent that you have authority to bind that entity to these Terms.
2. Description of Service
LegalEdge provides a cloud-based legal practice management platform including matter management, time tracking, billing, accounting, document automation, client relationship management, and related tools. The Service is designed for licensed attorneys and legal professionals.
3. Account Registration
You must provide accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.
4. Subscription and Payments
4.1 Plans and Pricing
The Service is offered under subscription plans as described on our pricing page. Prices are subject to change with 30 days' notice.
4.2 Billing
Subscriptions are billed monthly or annually in advance. You authorize us to charge the payment method on file for recurring subscription fees.
4.3 Cancellation
You may cancel your subscription at any time. Upon cancellation, you retain access through the end of your current billing period. No refunds are provided for partial billing periods, except as required by law.
4.4 Free Plan
The free Essentials plan provides access to core practice management features at no cost for up to two users. No payment information is required to use the free plan. You may upgrade to a paid plan at any time to access additional features, higher user limits, and premium capabilities. Free plan accounts that remain inactive for 12 consecutive months may be suspended.
5. Your Data
5.1 Ownership
You retain all rights, title, and interest in your data, including client information, documents, time entries, billing records, and all other content you upload or create in the Service (“Your Data”).
5.2 License
You grant LegalEdge a limited, non-exclusive license to process Your Data solely to provide and improve the Service. This license terminates when you delete Your Data or close your account.
5.3 Data Export
You may export Your Data at any time during your subscription and for 90 days after termination. We provide export in standard formats (CSV, PDF, JSON).
5.4 Confidentiality
We recognize that Your Data may include information subject to attorney-client privilege and other legal protections. We treat all Your Data as confidential and implement safeguards described in our Privacy Policy and Security documentation.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to store or transmit malicious code
- Resell or sublicense access to the Service without authorization
- Use the Service in violation of any applicable professional conduct rules
7. AI Features
The Service includes AI-powered features for time tracking, document generation, and analysis. These features are tools to assist your professional judgment and do not constitute legal advice. You are solely responsible for reviewing, editing, and approving all AI-generated content before use.
8. Trust Account Features
The Service includes trust accounting features designed to assist with compliance. While we implement safeguards such as overdraft prevention and three-way reconciliation, you remain solely responsible for ensuring your trust accounting practices comply with applicable bar rules and regulations.
9. Intellectual Property
The Service, including its software, design, documentation, and trademarks, is owned by LegalEdge and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except as necessary to use the Service.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGALEDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless LegalEdge from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Service Availability
We target 99.9% uptime for the Service. Planned maintenance windows will be communicated in advance. We are not liable for downtime caused by force majeure events, third-party service failures, or scheduled maintenance.
13. Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the courts of New York County, New York.
